These Terms and Conditions (hereinafter referred to as the "Terms") constitute an official public offer between "Primus Med" LLC (hereinafter referred to as the "Company") and the users of the primusmed.am website.
The purpose of these Terms is to define the rights and obligations of the parties regarding the online sale of products offered by the Company. By placing an order or creating an account on the website, the customer acknowledges having read and agreed to these Terms. Any confirmation of an order or use of the website signifies full acceptance of these Terms, without exception.
The Company reserves the right to modify these Terms at any time. In the event of a modification, the terms in effect at the time the order was placed shall apply. DEFINITIONS
Company — "Primus Med" LLC, the owner of the primusmed.am website.
Customer — Any natural or legal person using the website to place an order for products or to obtain information.
Website (Site) — The primusmed.am website.
Partner — Any organization or supplier cooperating with the Company whose products or services are featured on the website.
Order — A request registered by the Customer—via the website or telephone—to purchase and have a product delivered.
Delivery Service — The transportation and delivery of products ordered by the Customer to the address specified by them, originating from the Company’s and/or a specialized delivery partner’s warehouse or point of sale. Courier — The person physically providing the delivery service to the customer (a company employee or a representative of a partner organization).
ARTICLE 1. ORDER REGISTRATION AND ONLINE PURCHASES
1.1. Product Selection and Limitations: The products presented on the website include a name, description, additional information (dosage form, dosage, composition), selling price, and photographs. The images displayed on the website are for illustrative purposes and may differ slightly from the product's actual external packaging.
LEGAL DISCLAIMER (IMPORTANT NOTE): The Company sells exclusively biologically active supplements (BAS), which are not classified as medicinal products under the legislation of the Republic of Armenia. No medications of any kind (including those intended for the treatment of oncological diseases, psychotropic drugs, specially controlled substances, or prescription medicines) are sold or delivered via the Website.
1.1.1. Product Price: The product's selling price is the price displayed on the Website at the time the Customer makes the purchase. The selling price includes VAT but excludes the delivery cost, which is calculated separately.
1.1.2. Total Order Amount: The final price of the order in Armenian Drams (AMD), including delivery costs for the selected delivery method.
1.2. Entering Data and Selecting Delivery: When placing an order, the Customer is required to provide reliable and accurate information (first name, last name, contact details, exact delivery address) and select a preferred delivery option. 1.3. Order Confirmation and Payment – The Customer reviews their order details, corrects any errors, and, after agreeing to these terms, confirms the order by proceeding to the payment page.
1.4. Payment Methods – Payment for the order may be made in the following ways:
Online payment: via bank cards (VISA / MASTERCARD / ARCA) or the Idram electronic payment system.
Cash payment: to the courier upon receipt of the product. Payment is made exclusively in Armenian Drams (AMD).
Payment transaction guarantee: The Customer guarantees that they have the full right and authority to use the selected payment method. If the transaction is declined by the payment processor, the order is automatically cancelled.
1.5. Proof of Purchase (Electronic Confirmation): Upon successful payment (or, in the case of a cash payment option, upon registration of the order), the Customer receives an order confirmation via email, which includes the order number, the list of items, the total amount, and the delivery address. This email serves as official proof of the online purchase.
ARTICLE 2. DELIVERY TERMS
2.1. Delivery services are provided throughout the territory of the Republic of Armenia in accordance with the price list and schedule published on the website (Annex 1). 2.2. Geographical restriction: Throughout the territory of the Republic of Armenia, excluding the city of Yerevan, order delivery is carried out exclusively after prior online payment (100% prepayment) has been made. 2.3. Courier waiting time: After notifying the Customer of the order's arrival, the courier may wait for the Customer at the specified address for a maximum of 10 minutes. If the order is not accepted within the specified timeframe due to the Customer's fault, the order may be cancelled or postponed (the Customer shall bear the costs of re-delivery).
ARTICLE 3. PROFESSIONAL PAGES
3.1. A dedicated account for healthcare professionals (doctors, pharmacists) is available on the website. 3.2. The professional page is activated by the Company following manual verification and approval of the data. 3.3. This page is exclusively informational/scientific in nature, intended to provide professionals with access to medical research and professional materials, and is not intended for the retail sale of medicines.
ARTICLE 4. LIMITATION OF LIABILITY
4.1. The Company undertakes to comply with the applicable legislation of the Republic of Armenia. 4.2. The Company bears no liability for the Customer's failure to familiarize themselves with these terms or for any adverse consequences resulting therefrom. 4.3. The Company bears no liability for data loss or delays caused by technical malfunctions of the website, interruptions in connectivity, computer viruses, or internet disruptions. 4.4. Limitation of medical liability: The information provided on the website (articles, research) does not constitute medical advice or a diagnosis. Customers should consult their physician when purchasing and using medical devices.
ARTICLE 5. FORCE MAJEURE (IRRESISTIBLE FORCE)
The Parties are released from liability for the partial or complete non-performance of obligations if such non-performance results from the impact of an irresistible force (Force Majeure) that arose after these terms came into effect and which the Parties could neither foresee nor prevent. Such situations include earthquakes, floods, fires, war, the declaration of a state of military or emergency, epidemics, acts of state authorities, strikes, or the cessation of communication services. ARTICLE 6. INTELLECTUAL PROPERTY AND COPYRIGHT
6.1. All information available on the Website, including texts, graphic images, logos, videos, design, and software code, constitutes the intellectual property of the Company or its partners and is protected by the copyright legislation of the Republic of Armenia. 6.2. Any copying, reproduction, distribution, or resale of the Website's content or the services provided, without the Company's prior written consent, is strictly prohibited.
ARTICLE 7. DISPUTE RESOLUTION AND APPLICABLE LAW
7.1. All disputes and disagreements arising in connection with these Terms shall be resolved through negotiations between the parties. 7.2. In the absence of a mutual agreement, disputes shall be resolved in accordance with the legislation of the Republic of Armenia by the competent courts of general jurisdiction of the Republic of Armenia. 7.3. The Armenian version of the Terms constitutes the original and takes legal precedence over versions translated into other languages. 7.4. Electronic data regarding orders and transactions stored on the Company’s computer servers and databases shall be recognized as official legal evidence in the event of disputes between the parties.
